1. Acceptance of Terms
By accessing or using Verdact ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Service.
In these terms, "Verdact," "we," "us," and "the operator" refer to the operator of Verdact. Verdact is operated pre-incorporation and is not yet a registered legal entity. We will update these terms to identify the operating entity once it is formed.
2. Description of Service
Verdact is a chargeback dispute evidence and filing workflow platform. We help merchants monitor dispute rates, compile delivery, policy, and communication evidence, and manage filing controls for eligible dispute responses.
Free tier accounts may view generated evidence packets, while download, export, and filing to Stripe are Paid tier features. During the beta period, the Paid tier is free for all users (no separate Founding tier).
Filing is manual and merchant-controlled. When filing is enabled for your account, Verdact never submits a dispute response to Stripe without your explicit action: you review the assembled evidence, approve it, and separately confirm the submission itself before anything is sent. Verdact does not automatically file disputes on your behalf unless you have explicitly enabled automatic filing in Settings, and as of this version of these Terms, automatic filing is not available to merchants.
Filing is final.Visa and Mastercard rules allow exactly one evidence submission per dispute — once filed, a response cannot be edited, withdrawn, or resubmitted through Verdact or through Stripe. You are responsible for reviewing the evidence record for accuracy before you approve and submit it.
Fees on loss.If the bank rules against you, Stripe (not Verdact) charges its own dispute fee, in addition to any fee already assessed at the time the dispute was opened. Verdact does not receive any portion of Stripe's fees and does not charge its own fee for filing during the beta period.
You remain responsible for the accuracy of the evidence and business information you provide, and for any submission made from your account. Verdact is not a payment processor, bank, collections agency, or legal service, and nothing in the Service constitutes legal advice about a specific dispute.
3. Accuracy of Evidence
Verdact assembles evidence packets from information you provide (business profile, policies, account of what happened) and from data available via your connected Stripe (and, if connected, Slack) account. Verdact does not independently verify the factual accuracy of merchant-provided content. You represent that the evidence and statements you approve for filing are accurate and truthful to the best of your knowledge. Knowingly submitting false or misleading evidence to a card network may violate that network's rules and applicable law, and is solely your responsibility.
4. Account and Connection Security
To use the Service, you must connect your Stripe account. You may also optionally connect Slack to search for and import delivery proof. Gmail connection is not available to merchants at launch.
- Stripe Connect: We use Standard Connect OAuth to retrieve dispute data. We do not store your Stripe credentials or access tokens.
- Slack OAuth: We access Slack read-only, only for channels you select, and only upon your explicit request to search for evidence. We do not continuously monitor, store, or scan your communications.
- All access tokens are stored in encrypted format using AES-256 at rest.
5. Google API Limited Use Compliance
Gmail connection is not offered to merchants at launch. If and when we enable it, Verdact's use of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
6. No Warranties and Limitation of Liability
Verdact provides the Service "as is" and "as available" without any warranty of any kind, either express or implied.
- We do not warrant or guarantee that any dispute evidence prepared with Verdact will be won or decided in your favor.
- Card network rules, chargeback decisions, and processor evaluations are governed entirely by third-party financial institutions and card networks.
To the maximum extent permitted by law, Verdact and its operator will not be liable for any indirect, incidental, special, or consequential damages, including lost revenue or lost disputes, arising from your use of the Service. Verdact's total liability for any claim relating to the Service is limited to the amount you paid Verdact in the three (3) months preceding the claim, or $100, whichever is greater. Nothing in this section limits liability that cannot be limited under applicable law.
7. Indemnification
You agree to indemnify and hold Verdact harmless from any claim, loss, or expense (including reasonable attorney's fees) arising from evidence or business information you submitted that was false, misleading, or that you did not have the right to submit, or from your violation of these Terms or of applicable card-network rules.
8. User Conduct
You agree not to use the Service to upload false evidence, fabricate communication threads, or submit fraudulent chargeback rebuttals. Doing so will result in immediate account termination.
9. Governing Law
Verdact is operated pre-incorporation and is not yet a registered legal entity, so no governing law or jurisdiction is established by these terms at this time. Once the operating entity is formed, we will update this section to specify the governing law and jurisdiction and will notify you of the change as described in Section 10.
10. Changes to Terms
We reserve the right to modify these terms at any time. We will notify you of any material changes by email before they take effect.
